Standards of Conduct

When interacting with other users through any feature of the Service — including but not limited to comments, replies, community discussions, leaderboards, shared gameplay, or any other social or interactive feature — you agree to conduct yourself in accordance with the following standards. You will not:

• Harass, bully, threaten, intimidate, or engage in any form of hostile or abusive conduct toward any other user
• Direct hate speech, discriminatory language, or derogatory remarks at any other user based on race, ethnicity, gender, sexual orientation, religion, disability, nationality, age, or any other protected characteristic
• Attempt to contact, solicit, or engage any other user outside of the Service for any purpose without their express consent
• Impersonate another user or misrepresent your identity in any interaction

Consequences of Conduct Violations

• Issuance of a warning to your account
• Temporary suspension of your ability to use interactive or social features of the Service
• Temporary or permanent suspension of your account
• Permanent termination of your account and forfeiture of any associated rewards, prizes, or credits
• Referral of the matter to applicable law enforcement authorities

No Duty to Monitor

Preon TV has no duty to monitor interactions between users or to police user conduct on the Service. You acknowledge that Preon TV relies in part on users to self-regulate and to use available reporting tools to flag inappropriate content or behavior. Preon TV's decision not to monitor a particular interaction or piece of content does not constitute a waiver of its rights under these Terms or an endorsement of any user conduct.

10. Competitions, Leaderboards, and Rewards

General Competition Terms

The Service may include competitions, challenges, leaderboards, and similar competitive features ("Competitions"). Your participation in any Competition is voluntary and subject to the following terms:

• Preon TV reserves the right to modify, suspend, or terminate any Competition at any time, for any reason, without prior notice or liability
• Preon TV reserves the right to change the rules, scoring criteria, or structure of any Competition at any time
• Participation in a Competition does not guarantee any prize, reward, or benefit
• Preon TV's decisions regarding Competition rankings, eligibility, and outcomes shall be final and binding

Leaderboards and Rankings

Leaderboard rankings and scores are provided for informational and entertainment purposes only. You acknowledge and agree that:

• Leaderboard data may not always reflect real-time or fully accurate rankings due to system processing, caching, or technical limitations
• Preon TV reserves the right to adjust, correct, or reset leaderboard scores at any time if errors, exploits, or violations of these Terms are identified
• Disputes regarding leaderboard rankings or scores shall be resolved at Preon TV's sole discretion
• Preon TV is not liable for any inaccuracies in leaderboard data or rankings

System Errors and Malfunctions

In the event of any system error, malfunction, or technical failure affecting Competitions, scoring, or any other feature of the Service, you agree that:

• Preon TV may void, correct, or adjust any results, scores, or outcomes affected by the error or malfunction
• Preon TV shall not be liable for any loss, damage, or disappointment resulting from system errors or malfunctions
• Preon TV reserves the right to take any action it deems appropriate to restore the integrity of the Service, including but not limited to resetting scores, disqualifying participants, or suspending features
• Any purported prizes, rewards, or benefits associated with results that were affected by a system error may be withheld, adjusted, or revoked at Preon TV's sole discretion

11. Prizes, Giveaways, and Rewards

General Prize and Giveaway Terms

The Service may periodically offer prizes, giveaways, rewards, or other incentives ("Prizes") in connection with Competitions, promotional events, or other activities. All Prizes are subject to the following terms and conditions:

• Prizes are offered at Preon TV's sole discretion and may be discontinued, modified, or terminated at any time without notice
• Eligibility for Prizes may be subject to additional terms, conditions, or requirements that will be communicated in connection with each specific Prize offering
• Preon TV reserves the right to substitute any Prize with an alternative of equal or greater value at any time
• No Prize shall be construed as creating an obligation on the part of Preon TV unless expressly stated in a separate, written Prize-specific agreement

Prize Eligibility and Disqualification

You may be disqualified from receiving a Prize if you:

• Engage in fraudulent, deceptive, or dishonest conduct in connection with any Competition or Prize-related activity
• Attempt to manipulate scores, rankings, or outcomes through unauthorized means
• Fail to meet any Prize-specific eligibility requirements
• Are found to have used bots, scripts, or other automated tools to gain an unfair advantage
• Fail to claim the Prize within the designated time period, if applicable

Prize Distribution and Fulfillment

Where Prizes are awarded:

• Preon TV will make reasonable efforts to fulfill Prize awards in a timely manner, but no specific timeline is guaranteed unless expressly stated in a separate written agreement
• Prizes involving physical goods are subject to availability and shipping limitations. Preon TV is not responsible for delays caused by third-party shipping carriers
• Preon TV shall not be liable for any prizes that are lost, damaged, or destroyed while in the possession of or during transit by a third-party shipping carrier. Once a prize has been handed off to the shipping carrier, all risk of loss or damage passes to the carrier. Preon TV will make reasonable efforts to assist you in resolving a shipping claim with the carrier, but is not obligated to replace, refund, or otherwise compensate you for any prize that is lost or damaged during shipping
• Digital Prizes, gift cards, or credits will be delivered to the email address or account associated with your Preon TV account. Preon TV is not responsible for Prizes sent to an incorrect or outdated email address provided by you
• In the event a Prize cannot be fulfilled as originally described, Preon TV may substitute an alternative Prize of equal or greater value or, at its sole discretion, elect not to award the Prize
• Preon TV reserves the right to impose reasonable limits on the number of Prizes any single user may receive within any given time period

Tax and Legal Obligations

You acknowledge that receipt of any Prize may give rise to tax obligations in your applicable jurisdiction. Preon TV shall not be responsible for calculating or advising on your tax obligations. Where required by applicable law, Preon TV may request identifying information (such as a Social Security number or equivalent) for tax reporting purposes. If any Prize offering constitutes a sweepstakes, contest, or promotional offer under applicable law, additional terms and conditions specific to that offering will apply. 12. Termination

Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you:

Termination by You

Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data
• Any unredeemed or pending Prizes, rewards, or credits shall be forfeited upon termination of your account, unless applicable law requires otherwise
• Certain provisions of these Terms will survive termination, including intellectual property rights, disclaimers, indemnification, and limitations of liability
• We will retain your email address and unsubscribe preferences to prevent accidental re-engagement and comply with legal obligations

13. Disclaimers and Limitation of Liability

Service Provided "As Is"

Preon TV does not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements
• Any trivia content, quiz questions, answers, or AI-generated content presented through the Service will be accurate, complete, or free of error
• Any Competition results, scores, leaderboard rankings, or Prize awards will be accurate or final
• Any content created, submitted, or shared by other users will be accurate, lawful, non-infringing, or appropriate
• The interactive or social features of the Service will be free from user misconduct, harassment, or other objectionable behavior
• Any reporting or flagging mechanism will result in the removal of content or action against another user

Limitation of Liability

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your access to or inability to access the Service
• Damages resulting from any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Damages arising from any inaccuracies in trivia content, quiz questions, answers, or AI-generated content
• Damages arising from any errors, malfunctions, or disputes related to Competitions, leaderboards, scoring, or rankings
• Damages arising from the non-fulfillment, delay, modification, or revocation of any Prize, reward, or giveaway
• Damages arising from user-submitted content, including but not limited to inaccurate or misleading submissions
• Damages arising from your interactions with other users on the Service, including but not limited to harassment, disputes, defamation, or any other conduct by another user
• Damages arising from your exposure to content created or shared by other users
• Damages arising from Preon TV's failure to act on any report or flagged content
• Damages arising from any user-to-user dispute, whether or not Preon TV was made aware of the dispute

Maximum Liability

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless Preon TV, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Any conduct by you toward other users that violates the standards of conduct set forth in Section 9 of these Terms, including but not limited to harassment, defamation, impersonation, or unauthorized disclosure of another user's personal information
• Any claim by another user arising from your interactions with that user on the Service
• Your violation of any applicable laws or regulations

• Informal Resolution: You agree to first contact us at Drew@preontv.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute informally within 30 days.
• Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Preon TV individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity.
• Exceptions: Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Service or intellectual property infringement without first engaging in arbitration.

18. Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Preon TV regarding the use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired, and such provision shall be reformed to the minimum extent necessary to make it enforceable.

Waiver

No waiver by Preon TV of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Preon TV to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent. Any attempted assignment in violation of this provision is void.

Headings

The headings in these Terms are for convenience only and have no legal or contractual effect.

Force Majeure

Preon TV shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Survival

Provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Preon TV.
